1.1 INTRODUCTION AND ACCEPTANCE
These Terms and Conditions (“Terms,” “Agreement”) constitute a legally binding agreement between you (“Client,” “you,” “your,” or “User”) and Global Wealth (“the Firm,” “Global Wealth,” “we,” “us,” or “our”), governing your access to and use of our website (globalwealth.finance), Project Submission Portal, digital platforms, services, and any related content, tools, features, or functionality (collectively, the “Services”).
These Terms apply to all visitors, users, clients, and others who access or use our Services, whether as prospective clients evaluating our offerings, active clients with whom we have executed service mandates, partners, vendors, or general website visitors. If you are accessing or using the Services on behalf of a company, organization, or other legal entity, you represent and warrant that you have the authority to bind such entity to these Terms, and references to “you” shall include both you individually and such entity.
We reserve the right to modify, amend, or update these Terms at any time in our sole discretion. Material changes will be communicated through prominent website notice, direct email notification, or other reasonable means. Your continued use of the Services following such modifications constitutes your acceptance of the updated Terms. It is your responsibility to review these Terms periodically to remain informed of any changes.
1.2 STRATEGIC ROLE AND SERVICE DESCRIPTION
Global Wealth operates as a premier strategic intermediary and funding coordinator specializing in facilitating connections between high-value projects, corporate entities, entrepreneurs, and institutional capital sources including private equity firms, venture capital funds, family offices, sovereign wealth funds, development finance institutions, and commercial banking syndicates.
Nature of Services: Our core service offering involves comprehensive project readiness assessment, strategic positioning, documentation optimization, compliance alignment, stakeholder coordination, institutional presentation preparation, and facilitation of introductions to appropriate funding sources. We serve as strategic advisors and coordinators, leveraging our extensive institutional network, market intelligence, and structuring expertise to enhance the fundability and institutional appeal of client projects.
Not Financial Advisors: Global Wealth is NOT a registered investment advisor, broker-dealer, financial planner, or investment manager. We do not manage investment portfolios, custody client assets, execute securities transactions, or provide personalized investment recommendations. Our services are limited to strategic coordination, project optimization, and network facilitation.
Not Legal or Tax Advisors: We do not provide legal advice, legal representation, tax planning, tax preparation, accounting services, or regulatory compliance services. Clients are strongly advised to retain independent legal counsel, tax advisors, and regulatory specialists to address legal, tax, and compliance aspects of their projects and funding arrangements.
No Guarantees: While we apply our best professional efforts and leverage our extensive institutional relationships, we make NO GUARANTEES, WARRANTIES, OR ASSURANCES regarding funding success, timeline, terms, amount, or any other outcome. Capital raising is inherently uncertain and depends on numerous factors beyond our control, including market conditions, investor appetite, project fundamentals, economic circumstances, and regulatory environments.
Independent Contractor Relationship: Global Wealth operates as an independent contractor. Nothing in these Terms creates an employment relationship, partnership, joint venture, agency relationship, or fiduciary duty between Global Wealth and any Client beyond the specific professional services engagement outlined in executed service agreements.
1.3 GLOBAL OPERATIONS AND JURISDICTION
Global Wealth is a globally coordinated funding intermediary with operations spanning multiple jurisdictions. Our organizational structure reflects this international scope:
Global Headquarters: Our principal executive offices and global coordination center are located at GT Tower International, Makati City, Metro Manila, Philippines. Strategic oversight, senior management, global mandate coordination, and primary operational functions are based at our Manila headquarters.
Regional Hubs: We maintain strategically positioned regional offices in Dubai (United Arab Emirates), Singapore (Republic of Singapore), and Port Louis (Mauritius), each serving specific geographic markets and client segments while operating under unified global standards and policies.
Multi-Jurisdictional Nature: By engaging with Global Wealth Services, you acknowledge and accept that our operations involve multiple jurisdictions, and specific aspects of your engagement may be governed by different legal frameworks depending on your location, project location, funding sources, and other relevant factors. Service agreements will specify the applicable governing law and dispute resolution mechanisms for each particular engagement.
Regulatory Status: Global Wealth operates as a strategic advisory and coordination firm. We are not a licensed or regulated financial institution, and our services do not constitute regulated financial activities in most jurisdictions. However, we maintain strict internal compliance standards that meet or exceed regulatory expectations applicable to professional advisory firms.
1.4 ELIGIBILITY AND USER REPRESENTATIONS
Age and Capacity: You represent and warrant that you are at least eighteen (18) years of age (or the age of majority in your jurisdiction, whichever is greater) and possess the legal capacity to enter into binding contracts.
Authority: If you are acting on behalf of a corporation, partnership, trust, or other legal entity, you represent and warrant that you are duly authorized to bind such entity to these Terms and any subsequent service agreements.
Accuracy of Information: You represent and warrant that all information you provide to Global Wealth through any channel (website forms, Project Submission Portal, email communications, consultations, or otherwise) is true, accurate, complete, and current. You agree to promptly update any information that becomes inaccurate or incomplete.
Lawful Purpose: You represent and warrant that your use of our Services is for lawful purposes only and complies with all applicable laws, regulations, and these Terms. You will not use our Services to facilitate, promote, or engage in any fraudulent, illegal, or unethical activity.
No Sanctions: You represent and warrant that you are not (i) located in, organized under the laws of, or resident of any country or territory subject to comprehensive sanctions programs; (ii) identified on any government sanctions list including but not limited to the U.S. OFAC SDN List, EU Consolidated Sanctions List, UN Sanctions List, or equivalent jurisdictional lists; or (iii) owned or controlled by any such person or entity.
1.5 PROJECT SUBMISSIONS AND PORTAL USE
Submission Portal: Global Wealth provides a secure online Project Submission Portal through which prospective clients may submit project information, business plans, financial documentation, and related materials for our evaluation.
Submission Authorization: By submitting information through our Project Submission Portal or any other communication channel, you represent and warrant that:
- You possess all necessary rights, licenses, permissions, and legal authority to share such information with Global Wealth;
- The submission does not violate any third-party intellectual property rights, confidentiality obligations, contractual restrictions, or applicable laws;
- All submitted information is accurate, complete, and not misleading;
- You have obtained all necessary consents, authorizations, and approvals from relevant stakeholders to share the information for funding facilitation purposes.
Evaluation Process: Submission of project information does NOT constitute engagement of Global Wealth’s services, create any contractual relationship, or obligate Global Wealth to take any action. We reserve the right to evaluate submissions at our sole discretion and decline to pursue any project for any reason or no reason without explanation. Only executed written service agreements create binding obligations.
Confidentiality: While we treat submitted information with professional discretion and implement security measures to protect data (as detailed in our Privacy Policy and Data Protection Policy), absolute confidentiality cannot be guaranteed for unsolicited submissions made prior to execution of a formal confidentiality agreement. If your project involves highly sensitive proprietary information, please contact us to execute an NDA before submitting detailed materials.
No Solicitation: The Project Submission Portal and website content do NOT constitute solicitation of projects, offerings of services in jurisdictions where such offerings would be unlawful, or invitations to enter into any binding agreements. Service engagements are formalized only through separately executed written agreements.
1.6 INTELLECTUAL PROPERTY RIGHTS
Global Wealth Proprietary Content: The “Global Wealth” name, logo, trademarks, service marks, trade names, and all content appearing on our website and digital platforms (including text, graphics, images, photographs, illustrations, audio clips, video clips, code, data compilations, page layout, underlying code, software, and user interface design) are the exclusive property of Global Wealth or our licensors and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.
Limited License: We grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use our website and Services for their intended purposes in accordance with these Terms. This license does not include any right to: (i) resell, redistribute, or commercially exploit our content; (ii) modify, adapt, translate, reverse engineer, decompile, or disassemble any portion of our Services; (iii) use any data mining, robots, scraping, or similar automated data gathering or extraction methods; (iv) remove or alter any copyright, trademark, or other proprietary notices; or (v) use the Services in any manner that could damage, disable, or impair our infrastructure.
Client Materials: You retain all ownership rights in materials you submit to Global Wealth. By submitting materials, you grant us a limited, non-exclusive license to use, reproduce, store, and share such materials solely for purposes of evaluating your project, facilitating funding introductions, and delivering services pursuant to our engagement.
Feedback: If you provide comments, suggestions, ideas, or other feedback regarding our Services (“Feedback”), you grant Global Wealth an unrestricted, perpetual, irrevocable, royalty-free, worldwide right to use, modify, and incorporate such Feedback without attribution or compensation.
1.7 PROHIBITED USES
You agree NOT to use our Services for any of the following prohibited purposes:
Illegal Activities: Any purpose that violates applicable local, national, or international laws or regulations, including but not limited to money laundering, terrorist financing, fraud, corruption, sanctions violations, or other financial crimes.
Misrepresentation: Submitting false, misleading, or fraudulent information; impersonating any person or entity; or misrepresenting your affiliation with any person or entity.
Intellectual Property Infringement: Submitting materials that infringe upon intellectual property rights, proprietary rights, or confidential information of third parties.
Harmful Code: Introducing viruses, malware, trojans, worms, logic bombs, or other malicious or technologically harmful material into our systems.
System Interference: Attempting to gain unauthorized access to our systems, other user accounts, or computer systems or networks connected to our Services through hacking, password mining, or any other means.
Excessive Usage: Using automated systems, scripts, or bots to access and extract data from our Services, or otherwise placing unreasonable load on our infrastructure.
Competitive Intelligence: Using our Services to gather intelligence for competitive purposes, benchmark against competing services, or build competitive products or services.
Violation of these prohibitions may result in immediate termination of access, legal action, and reporting to appropriate law enforcement authorities.
1.8 DISCLAIMERS AND WARRANTIES
AS-IS BASIS: OUR SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.
NO WARRANTY OF OUTCOMES: GLOBAL WEALTH MAKES NO WARRANTY, REPRESENTATION, OR GUARANTEE REGARDING THE RESULTS THAT MAY BE OBTAINED FROM USE OF OUR SERVICES, INCLUDING THE SUCCESS, TIMING, TERMS, OR AMOUNT OF ANY FUNDING, FINANCING, OR CAPITAL RAISING.
Information Accuracy: While we strive to provide accurate and current information, we make no warranties regarding the accuracy, completeness, reliability, or timeliness of any content on our website or provided through our Services. Market information, industry data, and general guidance are provided for informational purposes only and should not be relied upon as the sole basis for any decision.
Third-Party Content: Our website may contain links to third-party websites, services, or resources. We do not endorse and are not responsible for the content, accuracy, or practices of third-party sites. Access and use of third-party sites is at your own risk.
Availability: We do not warrant that our Services will be uninterrupted, timely, secure, or error-free, or that defects will be corrected. We reserve the right to modify, suspend, or discontinue any aspect of our Services at any time without notice.
1.9 LIMITATION OF LIABILITY
Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability shall be limited to the maximum extent permitted by law.
1.10 INDEMNIFICATION
You agree to indemnify, defend, and hold harmless Global Wealth, its affiliates, subsidiaries, officers, directors, employees, agents, partners, licensors, and service providers from and against any and all claims, demands, actions, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees and legal costs) arising out of or relating to:
(a) Your use or misuse of our Services;
(b) Your violation of these Terms;
(c) Your violation of any third-party rights, including intellectual property rights, privacy rights, or contractual rights;
(d) Information or materials you submit to Global Wealth;
(e) Your violation of any applicable laws or regulations;
(f) Any negligent or willful misconduct on your part.
This indemnification obligation survives termination of these Terms and your use of our Services.
1.11 FEES AND PAYMENT TERMS
Fee Structure: Global Wealth’s compensation structure varies depending on service type, project scope, and engagement terms. Fee arrangements are specified in individual service agreements and may include retainer fees, success fees (typically calculated as a percentage of capital raised), milestone-based fees, or hybrid structures.
Payment Obligations: If you engage our services pursuant to a written service agreement, you agree to pay all fees in accordance with the payment terms specified in such agreement. Fees are typically non-refundable once earned, even if desired outcomes are not achieved, unless otherwise specified in the service agreement.
Expenses: Unless otherwise agreed, clients are responsible for reimbursing reasonable out-of-pocket expenses incurred in connection with service delivery, including travel, accommodation, third-party professional fees, due diligence costs, and similar expenses, subject to prior approval where applicable.
Late Payment: Past-due amounts may accrue interest at the rate of 1.5% per month (or the maximum rate permitted by law, whichever is less) until paid in full.
1.12 CONFIDENTIALITY
Both parties acknowledge that in the course of engagement, each party may have access to confidential and proprietary information of the other party. Specific confidentiality obligations are typically addressed in separate Non-Disclosure Agreements (NDAs) or confidentiality provisions within service agreements. In the absence of a specific confidentiality agreement, each party agrees to maintain the confidentiality of the other party’s proprietary information and not to disclose such information to third parties or use it for purposes other than the intended engagement, except as required by law or as necessary to deliver agreed services.
1.13 TERMINATION
By You: You may stop using our Services at any time. If we have an active service engagement, termination rights and obligations will be governed by the applicable service agreement.
By Us: We reserve the right to suspend or terminate your access to our Services at any time, with or without cause, with or without notice, including if we reasonably believe you have violated these Terms, engaged in fraudulent or illegal activity, or posed a risk to Global Wealth or third parties.
Effect of Termination: Upon termination, your right to use our Services immediately ceases. Provisions of these Terms that by their nature should survive termination (including warranties, disclaimers, limitations of liability, indemnification, and dispute resolution) shall survive termination.
1.14 DISPUTE RESOLUTION AND GOVERNING LAW
Governing Law: These Terms and any disputes arising out of or relating to these Terms or our Services shall be governed by and construed in accordance with the laws applicable in the Philippines for general website use and preliminary inquiries. For specific service engagements, governing law shall be specified in the applicable service agreement and may vary depending on client location, project jurisdiction, and other relevant factors.
Dispute Resolution: The parties agree to make good faith efforts to resolve any disputes amicably through direct negotiation. If disputes cannot be resolved through negotiation within thirty (30) days, the parties may pursue mediation before initiating formal legal proceedings.
Arbitration: For disputes arising from executed service agreements, arbitration provisions (if any) will be specified in the applicable service agreement. Disputes may be subject to binding arbitration in accordance with the rules of recognized arbitration institutions such as the Singapore International Arbitration Centre (SIAC), International Chamber of Commerce (ICC), or other mutually agreed forums.
Jurisdiction: For matters not subject to arbitration, the parties submit to the jurisdiction of courts in Manila, Philippines, or as otherwise specified in applicable service agreements.
1.15 GENERAL PROVISIONS
Entire Agreement: For routine website use and preliminary inquiries, these Terms constitute the entire agreement between you and Global Wealth. For specific service engagements, these Terms are supplemented by written service agreements, which shall govern in the event of any conflict.
Severability: If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect to the maximum extent possible.
Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision unless acknowledged in writing by our authorized representatives.
Assignment: You may not assign, transfer, or delegate any rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations without restriction.
Force Majeure: Neither party shall be liable for delays or failures in performance resulting from circumstances beyond reasonable control, including acts of God, war, terrorism, pandemic, government action, natural disasters, or infrastructure failures.
Notices: Notices to Global Wealth should be sent to legal@globalwealth.finance. We may provide notices to you via email to the address you have provided or through prominent website posting.
Language: These Terms are prepared in English. In the event of any translation, the English version shall prevail.
